
How is my business valued in a Quiet Exit?
Many UK business owners find this to be one of the most pressing questions. It is also one of the most confusing when they start quietly exploring succession or exit. Too often, people are told their business is “worth five times EBITDA.” They are given headline numbers that sound exciting. However, they rarely stand up to scrutiny. In reality, valuation is far more nuanced, and in a Quiet Exit it is approached differently.
At Epitome Capital, our focus is not on inflated profit multiples, but on the sustainability of free cashflow (FCF). Free cashflow shows us what the business can actually generate after covering its operating needs. It is the most reliable base for long-term continuity. Once the FCF figure is established, we apply a risk-based multiple, usually somewhere between 1× and 3×. The exact multiple depends on key risk factors. These factors include customer concentration, dependency on the owner, team stability, asset quality, and cashflow predictability. Each of these elements affects the confidence in the business’s ability to perform after the owner steps back. Some elements strengthen this confidence, while others may weaken it.
But that’s only part of the picture. In our Quiet Exit framework, we also add the fair market value of tangible assets. These include things like vehicles, machinery, property, and equipment. These assets are often undervalued on a balance sheet but are vital to the business’s continuity and future resilience. At the same time, we deduct unsecured liabilities such as overdue tax, short-term loans, or supplier arrears. These liabilities weigh directly on cashflow. They place strain on both the buyer and the business.
